Shuukan Diamond: Interview with Nozomu Sahashi

As mentioned previously, the current issue of the Shuukan Diamond has a two-page interview with Sahashi. Here's a translation of the article that appeared in the magazine.

Interview with Nozomu Sahashi, former president of Nova Corporation

Nozomu Sahashi was ousted from his position as the president of Nova on October 25 in a coup d'etat staged by his executives. The next day, Nova filed for bankruptcy protection under the Corporation Rehabilitation Law with the Osaka District Court. Nova's trustees then accused Sahashi of wrongdoing on several occasions, such as using the company for his own personal gain and pocketing profits from sales from Ginganet, a company he owned. Sahashi re-emerges for the first time since the coup d'etat, after having dropped out of the spotlight, to talk about what happened. (This interview was conducted on November 2.)

Diamond: When did you know you were relieved of your position and that Nova filed for protection under the Corporate Rehabilitation Act?

Sahashi: I first found out on Friday (October 26). I was woken up by a phone call at 5:30 in the morning asking me if I had seen the news. I had a sense something was going on, though. There was a board meeting on October 23. The members said that they were considering corporate rehabilitation.

I looked into this myself but came to the conclusion that it was not feasible. Nova has a lot of student claimants scattered across the country. The courts would probably not accommodate them, and if the students' claims were ignored (because of corporate rehabilitation), the staff would be too scared to open the schools. I gave priority to restructuring the company myself, and if that failed, some other legal arrangement with a sponsor was an option. The board members, by the way, told me things such as that METI would cooperate in finding a sponsor, that if I were to take responsibility, Mitsui Sumitomo Bank would cooperate, and that the courts also agreed. I sensed that a crisis was brewing.

You went into hiding. What were you doing after the coup d'etat?

On that Friday (the 26th), I was thinking what to do about the situation. For the past six months, I had worked tirelessly to rebuild the company, but decided on Saturday that that was enough and went to sleep. After that, I spoke with my lawyers about what what steps to take next.

What do you think the cause of Nova's bankruptcy was?

METI raided Nova on February 14. They didn't say why, but according to an internal investigation report, inspectors were collecting evidence about the poor quality of instructors and problems with being unable to reserve lessons. Anyway, they were done in a few hours and I didn't think it would lead to a serious punishment.

But the headlines in the newspapers on February 16 said that Nova was raided and may be shut down. March is the period when there are a lot of new students signing up, and these headlines resulted in fewer new students joining to the extent that it hurt our cash flow and losses for the February-May period grew to about ¥12 billion compared to the previous year.

New student signings started to pick up in May, but took a turn for the worse when we were punished by METI in June. I sold off some real estate and securities, but the first delay in paying salaries occurred in July.

It's been said that you've engaged in shady financing such as lending stock and issuing equity warrants

When it looked like salaries for July 25 couldn't be paid, I needed to procure ¥500 million. So, I lent 22 million shares to a consulting company. It was thoughtless now that I think about it, but I agreed to lend 11 million shares in return for ¥495 million. However, the 11 million shares in the contract were returned on August 10 by converting the money I borrowed into a ¥750 million corporate bond on August 6. I requested that the remaining 11 million shares to be returned, but have only received 8 million. This was fraud. I thought about filing a criminal complaint if I didn't receive all of the shares by the end of October.

The issue of the equity warrants was the last resort to rebuild the company. I could have raised ¥7 billion if all of the warrants were sold and 200 million shares were issued. Those were the numbers. As for the arrest of (big fish) Nishida (Haruo) in connection with this deal, there have been various rumors, but I've never heard of him.

To show that you used the company for personal gain, the trustees showed of an opulent office

That was a model room. It was going to be used to show a lifestyle in the future using the the ocha no ma ryuugaku system. The room was also used frequently for demonstrations. The actual president's office is at head office. The name plate on my desk was given to me by a customer. There aren't any presidents who put name plates on their desks to begin with.

It's also been said that you pocketed profits from sales from companies you own to Nova

The trustees have said that Ginganet sold videophone systems to Nova at several times the list price, but there was never any intention to reap profits. Moreover, a similar system sold in the United States retails for more than ¥1 million. I sold them at the student price of ¥89,000. Do you think that that system can be made for 20 or 30 thousand yen? It's a loss when you take into account the support costs.

You are suspected of selling your shares in the companies you owned after Nova went bankrupt

One was the travel agency, NTB. That company was about to bounce a check at the end of October. Another was Ginganet. It couldn't pay salaries. Both invested a total of around ¥1 billion in Nova, but it still lacked capital in either case. Ultimately, I made arrangements to sell the shares at the beginning of October to firms that I had collaborated with in the past. Nova didn't have any operating capital, so I sold them for next to nothing, for a few million yen.

What do have to say to the students, foreign instructors, and Japanese staff?

I was trying to do something so that things wouldn't end up this way, but I wasn't in time. If I was a week earlier things may have been different. As the one responsible, I am sorry for all the trouble I have caused.

What action are you planning to take against the current executives and trustees?

What astonished me was the resignation of the board members (Andres Lundqvist on October 25). The truth was that they (the current executives) were very terrified (of bankruptcy). I'm not out to blame them.

I didn't think, however, that the trustees' statements would be so bad. It's odd that there was a slew of stories one after the other a few days after they took control. What were they looking for? It's possible they want to create a bad image of the man who created the company as someone who lined his pockets. It's come to this, so I have no choice but to fight back.

I have sunk ¥1.3-1.4 billion into Nova. The shares are mine to begin with. After all, I used them as collateral to borrow money. It is crystal clear that I was working under the basic premise to restructure the company. What I did was for the students and employees. If I were to have run, it would have been in June.

Wow saruhashi had a lot to say. The main thing is that he was in charge, the leader and no leadership. Just one stupid fax after the next. He couldn't visit the "troops" that were working so hard to keep things running or be visible for the students and public.

I told you so

As I had written below, He's not such a bad guy after all. I knew once he had a chance to answer the charges things would start to point at others. I f anything, I would balme Anders. I also had a working relationship with him in the early and mid 90's. He was the real snake here, he was a bad influence trying to impose the sneaky business tactics we use in the West. Saruhashi was guilty of following his lead but I am sure he thought Andres knew what was going on. Due to being Japanese , Saruhashi was the figurehead and eventual scapegoat here. Anders is really behind it all.

I worked at Nova from 1992-99. I worked my way up to head teacher by 97 and I had direct dealing with Mr. Sahashi on several occasions. He always was very gracious to me and gave me the utmost respect. He seemed genuinely concerned about all his staff and saw promotions to good workers as a way to keep the company growing.

He had all of the head teachers and AAMs over to his Summer home in Shimoda one time. He paid for about 30 rooms in a local hotel and RT Shinkansen tickets and was one of the most generous guys I've come accros in Japan.

I also met his wife and daughter and he had the image as a great family man who's wife was heavily involved in day to day operations and branch visits throughout Japan.
I call bullshit on those who say his office was a love den and he slept with all the young staff. He did keep salaries low for J staff but in those days even crap instructors got 10,000k raises every year. He is not a cheap man as I read here. The J staff didn't really do very much in most cases. They were yi=oung girls who made the schedule and cleaned. Maybe 2 or 3 x a week they would try to do a sales pitch to a walk in customer. 90% of their time was spent gossiping while the foreigners taught 7-8 lessons a day.
The big Honko schools had heavy sales and the staff did get much bigger bonuses. Maybe 5x more than staff in the quiet branches.

That was then and this is now

Well nice story. The NOVA that I knew had the staff work, work and work. They had sales targets to make and the managers had meetings all the time. A real waste of time and money sometimes when a fax or memo could have done the job as well as a follow up call or visit from a senior manager.

Perhaps things were different in the 90's when "times where "good" but during the last couple of years leading to NOVA's downfall is nothing like what you wrote, no trips for titled instructors and the raises and all that. The staff worked hard, even in the small schools.

Also many people in the company didn't know who saruhashi was till this year. You know why? The faxes and lack of leadership. The dark clouds have been cleared but not in the way he envision them.

I was an HT from 93-97, and I believe these allegations are false! During my tenure I was given a gold-plated Mercedes, he let me have sex with all of his staff and he even wiped my ass for me. My stay in japan was short; only 2 years; so please forgive me for making an uneducated opinion. I love Japan, but during my stay, I notice an inherent racism among japanese; no, "racism" is too strong, perhaps a xenophobe mentality. An implicit boundary between Japanese and foreigners exists; foreigners, despite their efforts, will never be assimilated to Japanese culture. There are Japanese people who are exceptions to
the rule. If my claim is outrageous, I apologize.

If my preceding claim is valid, is this the reason Saruhashi has not been prosecuted by the japanese government. Saruhashi has violated many labor laws, but the wheels of justice turn slowly in japan. So far, the government is not prosecuting Sahashi for mistreating his foreign instructors who are the majority of his employees; Sahashi also maltreats the japanese staff - I sympathize with the staff for the hardship they endure. So if japan refuses foreigners from assimilating in their culture, and Sahashi is guilty of mistreating foreign aliens - would Japan punish one of its own (Sahashi) for mistreating foreigners - the same foreigners that Japan refuses to assimilate in their culture? I would like to see Sahashi punished for his wrongdoings against the Japanese staff and instructors, but I am trying to be realistic. I don't think Japan would penalize its own progeny for ill-treating a group of people that the country would not accept; this is perhaps the reason the government is slow in prosecuting Sahashi.

Sahashi's claim that he was working to restructure the business is also retarded. Looking for someone who will buy in or provide some cash is not a restructure. After the cash arrives you're still working with the same shonky system of business that has caused the losses. A RESTRUCTURE would entail actually working with the people around you to create a profitable system.

Inconsistancies in Saruhashi's Statements...

(if I am reading it correctly) stated that LDP member Nakayama (who is described as a close associated of Saruhashi's in other reports) went to visit an METI ministry official a few days *in advance* of the raid. The METI was already well aware of the problems at Nova in 2006 and had "flagged for administrative guidance in 2002" (see http://www.asahi.com/english/Herald-asahi/TKY200706160085.html). Also... there has never been any report that the raids had anything to do with "bad instructors"... nothing in the news reports or the METI report... zero... that statement is playing on the underlying racism in Japan... shame on him.

- There is already evidence that payments on rent of at least some branches were halted in June. A copy of a letter Nova sent to a landlord was posted in August that puts the first non-payment of rent as mentioned in the letter in June...

- That's a lie, A Jasdaq report filed by Nova had stated that the 11mil shares that UBS had aquired were the same as those acquired by BNP... but the UBS shares were returned shortly after (about 5 days later) and UBS commented that the returned shares "were not ours). The UBS shares weren't returned on Aug 10th...it was reported to the Jasdaq on the 10th but the date is Sept 5th IIRC. BNP sold it's shares on the Aug 6th... Saruhashi had sold 11mil shares to BNP through Roots.

3) Saruhashi: "As for the arrest of (big fish) Nishida (Haruo) in connection with this deal (warrants), there have been various rumors, but I've never heard of him."

on another point... he forgot to mention how he befitted from the dividends Nova paid on the shares he held.... and only on his shares... over the years... He sucked the company dry and everyone knows it but it seems the Japanese don't want to admit it.

Thanks for the update Novawhiz. Mentioning the teachers was nonsense I thought. It's funny that he mentioned raising money but if he wanted to save the company, where was his game plan. He tried to get "us" or the company money to what end? Where schools closed on some sort of plan or due to damage control only. Were there any press conferences or meetings or whatever to regroup, assess and have some sort of business plan for the future. NO he ran off and as we all know was up to raising "funds". But at the end who got the pay off? The company? Unless company equals saruhashi.

Japanese Media

While it's a nice idea to go to the media and claim that Saruhashi is playing on the xenophobia of the Japanese public by stating that METI was there for the reason of looking into "bad instructors", it won't gain the results that we all hope it will.

Scenario A: Someone who is fluent in Japanese makes the call to NHK (who have already stated that the students were the "true victims") or FUJI TV, and wants to make a statement about Saruhashi playing on Japanese racism. The operator hangs up the phone because they would rather not hear the Japanese people badmouthed.

Scenario B: This time someone gets as far as an interview that ends up getting cut out entirely, or edited to make the interviewee look like a whining gaijin who hates Japan and Japanese people.

Scenario C: The interview happens unimpeded and airs in its entirety only to be post-editorialized by the anchor who watched it and got angry because he didn't like being called a racist by a gaijin (he hates them anwyay, what do they know) and his opinion filters down through a bunch of housewives and salarymen and BANG! We're in a worse place than where we started letting the monkey man make his triumphant return from the hell created not by him, but by those evil Japan hating gaijin who secretly ran his business into the ground just to spite all of the hard working nihonjin who wanted to learn English so that they could make Japan more welcoming to foreign tourists.

Japanese media...

A while back Shawn posted a link to Amazon on books about the Japanese Media. For 'enlightenment' I ordered "A Public Betrayed: An Inside Look at Japanese Media Attrocities and Their Warnings to the West" by Adam Gamble & Takesato Watanabe (ISBN: 0-89526-046-8). It is a great read and puts a lot of what you see in the media into perspective. A bit frightening, too, actually.
I highly recommend the book.

The plight of different people

The japanese government won't do anything about the plight of foreigners unless there is serious need to do so - like diplomatic pressure from the major western countries that have citizens here. Such as Australia, the USA, etc. It's a simple fact.

Japan is a culture of ignorance, no, rather a culture of ignoring. What they don't like they ignore. Next time you go to west Shinjuku, near kabukicho you will find hundreds of homeless people (maybe thousands) living in cardboard boxes or the like. It's sad but it's true. Andy why? Because they are different. Some are insane sure, but some are geniuses. The only thing they have in common is that they are different. And what does the government do? Nothing. Why? Because there is no pressure to do so, as long as the people can get louis vuitton or the latest keitai the all is good.

And if you are a foreigner in the situation that the ex(?) current(?) NOVA workers or any other company for that matter - lets not forget that there are other companies out there - will always be screwed by japan because we are different. If you have a japanese friend, tell them that you put tomato sauce on your okonomiyaki and watch their horrified reaction (unless of course they are married to/dating a foreigner).

My wife is japanese and hates what has happened to the NOVA workers. I was once a NOVA worker for 2 years and have since moved on to other pastures. Before anyone asks she never studied english at an english school, only on the eigo benkyou shows that NHK airs. We both hope that you guys will either a) leave japan with a good image, b) find newer and greater opportunities here (after all NOVA was really like McDonalds in the eikaiwa industry) or c) fight the system in whatever way you can to help japan evolve.

Aye, very true. In any democracy, those who are politically unrepresented will largely be ignored. There is simply very little incentive to concentrate efforts on people who can do little for the political process, and specifically politicians themselves, in return. This is true in Japan, and it is true anywhere else. The vast majority of Nova teachers can neither vote, nor have family members who can vote.

I agree that Sahashi's comments about "bad instructors" are outrageous, and are likely a flat-out lie, but do people really think that this will be the focal point of Japanese people's views on the whole thing? The media attention lavished on Sahashi's other apparent crimes seems to have made far more of an impact than this one article. I suspect that the video images of the "office", and the continued investigations into his handling of stock movements, will leave a more lasting impression. As has been pointed out above, the reasons for the original METI raid on HQ were well reported around the time, and will no doubt have been clarified in the public mind by subsequent events. Does everyone really think that from now on the Japanese media's slant on this will be that bad teachers brought the company down, all because a discredited fool made a throwaway, unsupportable comment buried in an article most people will never read?

Those that are politically represented here, the students, will have a much stronger voice in the post-mortem, and I think they have a pretty good idea who they have been screwed by. And it is not the teachers.

These remarks point to the rapid expansion of Nova in recent years as the root cause of the company's problems. This, in turn, led to "difficulty in securing quality instructors" (質の良い外国人講師の確保が難しかった) needed to work in all of these new schools. In this context, although the term "quality instructors" is used, it seems obvious that the real issue was quantity. It doesn't say here that the quality of instructors was poor (as Saruhashi implied), but rather that it was difficult to get enough of them.

As a personal observation (having worked for Nova for more than four years), I would say that if quality really was an issue, it was because instructors were feeling increasingly demeaned by the attitude of the management. Training, which was never Nova's strong point, was reduced to a pathetic parody of what it should have been, had the company even the slightest concern for customer satisfaction. Special courses, such as Toeic, for instance, warranted no more than 40 minutes of "training", often from an AT whose own acquaintance with the material was negligible at best.

The kids program similarly suffered at the hands of poor management, as AAMs insisted that everyone had to do kids classes, aptitude be damned. During a brief tenure as AT, I asked our AAM if anyone ever failed the kids "training", to which she replied, "No, everyone has to do it (teach kids)." In other words, the "personnel quality control" section at Nova was infinitely more interested in control than quality. And it showed, as kids classes became an exercise in poisoning the minds of a generation of Japanese children with the notion that foreigners are clueless, powerless losers who are there to be abused for their amusement.

I vaguely recall, from my early days at Nova, actually thinking well of some of the titled instructors I worked with. Most had something to offer their greener colleagues, and their input was generally appreciated. However, a noticeable trend to squeeze out able people in favour of anybody who would accept new policies without question led to a steady deterioration in quality at the lower- and middle-management levels. Now, finally, we can see quite clearly that this managerial rot emanated from the top, with a president who blames everyone but himself for the company's ruin.

Training

Those comments are definitely true. I think most instructors didn't know what to expect. When i came we were all surprised by the inadequacy of the training. Some people said that they'd had a choice as to whether they wanted to teach kids or not in the recruiting stage only to find that it wasn't optional once they got here. In 2 1/2 yrs I never saw a teacher have a good first kids lesson, but i heard expletives on several occasions afterwards.

i totally agree that there is racism towards foreigners. and i agree that the training sucked...i'm totally not expecting to ever see that money. nova basically stole from its employees, they took our rent money but did not pay rent? so WHERE did my money go!?! guh.

One thing I cant understand is why "you" didnt see this coming. Everybody knows that having a job as a foreign-teacher is at the bottom of the ladder. What did you expect, to make a career out of it? To be able to build a future in Japan? Move on or go back go back home and get a better education. Then, if you still want to come back and get a high-paid job with nobody taking advantage of you.
Im in my fourth year in Japan, and being a foreigner even I am ashamed of how other westerners behave or view the country. Nothing is up for grabs here, you have to prove your worth.
And last, it is nothing you can do to get your money back or even prolong your stay here.
For your own sake and for how the Japanese views the rest of us, go home and let them settle this matter themselves.

Its true that people

Its true that people thinking they can carve out a "normal" life for themselves in Japan are ignorant/dillusional. It's also true that Japan has a real problem integrating foreigners into its society - but that is absolutely NO DIFFERENT than being a minority in nearly every country in the world. Deal with it. You can walk the walk, you can talk the talk, but you're not from around there and that never goes away.

That said, as many people have proven in the past, if you can learn to drop your elitist attitudes and make the necessary lifestyle adjustments, you can have a wonderful life in Japan, or just about anywhere for that matter. Only concerned with attaining power, professional status, or wealth? Prepare to be disappointed.

The standard of teaching at

The standard of teaching at Nova was equal to any other language school in Japan. Many Nova teachers have easily made the transitition into the ranks of the other well known English Language Schools including ECC and GABBA. Personally I think the Nova resources were far better than many of the surviving schools' resources, which sometimes still use old and dated texts.

Personally, I think it was the push to open new branches in locations which simply did not have the client base to support them. In Hachioji alone, they opened no less than four branches including: Keio Hachioji, Nishi Hachioji, Hachioji and Hachioji-minamino. They also opened a school in Takao which was located only 12 minutes from Hachioji by train.

I don't know the exact figure, but I do know that many of the schools that were opened as a drive to put Nova in front of every station in Japan caused an extremely large wastage of cash.

re: Training

I'm sorry to say that the training at all Language Schools regarding teaching children is about the same. I worked for Nova for 3 years, fortunately leaving before the company went bankrupt, and was employed by another Japanese Language School in Sept 07 (which will remain anonymous).

The point is, I underwent their on-the-job training and it was even less sufficient than Nova's OJT programme. Define adequate training anyway? I completed the PGCE in England and while it was a yearly course, most of what I learnt was theoretical. The practical experience of learning to deal with children could only be learnt through being stuck in the working environment and learning to deal with problems as they arose.

While it would be nice to give language instructors the opportunity to say that they don't wish to and so don't have to teach children, the fact of the matter is that that would lead to larger classes and probably insufficient numbers of 'Kids' instructors.

If he's shocked at the beating he's taken so far, he clearly has no idea how much worse it's going to be if he tries to defend himself in court. Which I hope he does - it ought to be highly entertaining. Is it at all possible that they could find him criminally liable for all this and take all his money away, I wonder?

Sinking ship rant.

For all or you "wanna come to Japan to teach English" types... think twice. The ship is sinking, bubble burst, sun is setting... take your pick.

FACT- Stagnant salaries for language teachers in all sectors (or worse yet, dropping in many cases).

FACT- Cost of living going up (gas, food, even your beer).

FACT- Oversupply of foreigners who speak English (the REAL minimum standard you need to work here). Those with better education have slightly better jobs in universities, but THOSE jobs are beginning to be farmed out as well and conditions worsening. Many of the lucky ones who went out on their own and made their own schools are even feeling a pinch these days.

FACT- Visa regulations tightening up, fingerprinting foreigners made a come back, police extremely xenophobic (DO NOT GET INTO THE SLIGHTEST TROUBLE - even night time bicycle ride or an unpaid parking ticket could net you 90+ days in the slammer - see www.debito.org for horror stories)

FACT- Online learning, English soon to be in public elementary curriculum will also eat away at the need for the "foreign" English teacher. Some may say that there will be more ALT jobs, maybe, but...

FACT- ALT jobs are becoming worse than NOVA!!! I came to Japan after earning an Bachelor of Ed. and was an ALT in the early 90's making 360,000/month, benefits, good holidays, directly through the B.O.E. - FLASH FORWARD TO TODAY - That same B.O.E. outsources to three companies (The macDonalds franchises known as: Interact, Altia, and Shane) and teachers (with very little training or experience I might add) get paid average 250,000 with no benefits. If you say "wait a minute, I work at XXXX and it's better than that!" - don't kid yourself.

FACT- they make two-three-four times what they pay ALTs - for all their talk, they really only care about money. I know because I worked for management of an ALT provider for some time. I know the contracts intimately, they say they are all for supporting teachers but if they really were they would be trying to change the system (not in their best money grubbing interest). BI mean...what the heck is a private company doing supplying teachers to the public education system anyway??? Don't you think this is odd?? Shouldn't the B.o.E. have certain standards and hire directly?? I shudder to think of what my children will learn when they enter public school!

FACT- The ALT contract is immoral and probably illegal (see http://www.generalunion.org/News/68?lang=en) - I can't see the situation getting any better. In fact a source at this same B.O.E. I worked at has said that they are considering "11 month contracts" for ALTs so as to avoid trouble with the unions should it come. Already Osaka B.O.E. has hired it's NET for a 4 month contract only (http://www.ofsetunion.org/) , this is certainly an attempt to side step any laws and regulations regarding the hiring of staff.

No, don't come to Japan to find work as an English teacher. Come for the culture or experience if you are interested. There is plenty of work in other sectors (provided you speak Japanese). Many artisans from abroad are finding a home here as well. But there is certainly better places in the world to be teaching English.

I am from NZ and there are big problems making money in teaching and indeed saving money in any job. And the recession in the USA and the housing crisis etc etc its not easy over there to make a living too
What I am trying to say it, wake up, whereever you go there are problems, some places are better, sure, there always have and always will be.
Sure Japan is not as good as it was 10~20 years ago, so what? things change, it is better than what it was 60 years ago.
